NewCo - Independent Non-Executive Directors

An exciting new era for women's professional football in England is being established through a new independent company with a working title of "NewCo" where each Club who participates in the top two tiers of women's football, the Barclay's Women's Super League ("BWSL") and the Barclay's Women's Championship ("BWC"), acts as shareholders to run the women's professional game.

This is a time of significant change and huge opportunity as NewCo transitions out of the FA and is fully incorporated; led by new CEO Nikki Doucet, and Chair Dawn Airey, with the mandate to build a new Board.

The Board will oversee the development of the two leagues (BWSL & BWC) and the execution of an exciting new vision and mission to see women's football transformed; building the most distinctive, competitive, and entertaining women's football club competition in the world for the players and fans of today and tomorrow.

With a majority of independent directors, developing strong governance foundations is a priority from the outset. This is a Board with a significant purpose, set to shape the future of sport; it requires agility, thought diversity, innovation, accountabilty and transparency - all underpinned by core values of trust, respect and integrity.

The Board will comprise a minimum of six members, being an independent chair, one senior independent non-executive director, two independent non-executive directors, the FA Director of Women's Football, the CEO and one Board Observer (non-voting). The proposed Board observer will offer a youth culture perspective and provide professional board experience for young professionals from underrepresented communities (1-2 year rolling position).

To this end we are seeking to hire 3 Independent Non-Executive Directors. We are particularly interested in hearing from candidates who have:

  • Spent time working in professional or national sport development and/or operations;
  • Deep commercial, technology and funding experience in start-up ventures breaking new ground in innovative ways and;
  • First class governance, financial and audit expertise

In addition, the successful candidate for one of these roles will also have the skills and experience to be appointed as the Senior Independent Director.

The Role(s)

The primary role of the Independent Non-Executive Directors is to bring objectivity to Board discussions, and an independent point of view and judgement on a range of matters such as strategy, changing consumer habits, how new technology will impact sports experience and consumption, building and growing a team, ways to manage and connect with different stakeholders, and solving big challenges. NewCo will require a domestic focus with a global outlook, always ensuring good governance.

The INEDs will:

  • Be curious and provide both challenge and support to other Board Directors and the Executive team.
  • Ensure that the NewCo Board acts with integrity and takes all the different stakeholder interests into account as it makes decisions. This includes supporting the Chair to manage the tradeoffs that will naturally arise from these stakeholders to ensure that decisions are taken in the best, and long-term interests of the leagues and the game.
  • Be highly credible, bringing professional expertise of the highest quality, ensuring that the inaugural members set a high standard and strong foundation for the future.
  • Have an entrepreneurial mindset, experienced in successfully leading a business from start-up into growth, and at the right pace.
  • Be an ambassador for Women's Football and the BWSL and the BWC, both at home and abroad, building strong relationships at all levels across the game.

The Person in each role will be:

  • Someone who has a love for women's football.
  • Highly emotionally intelligent and resilient, someone who can build trust and achieve results in a complex ecosystem where consensus can be hard to achieve.
  • Able to consistently exercise excellent judgement, rooted in strong moral and ethical principles.
  • A natural team player, at the same time able to constructively challenge the status quo.
  • Resilient and diligent, naturally able to cope well with a high degree of ambiguity and the high levels of public scrutiny that come with such a role.
  • Interested in and have a knowledge of professional sport, enabling them to empathise with both BWSL & BWC Clubs', the players and the fans' perspectives.


Independent Non-Executive Directors can serve for a maximum of 2 terms of 3 years.

Time Commitment:

Likely to be 1 day per month, including the formal commitment of 8 Board meetings per year and best efforts to attend impromptu requirements given the start-up nature of NewCo.

Definition of Independence:

Candidates must be free from any close connection to The FA or the NewCo team (such as being actively involved in The FA's or NewCo's affairs or having been an employee in the previous four years). Additionally, they must not be an employee, director, officer or have had a direct or indirect commercial relationship/interest in a professional club within the last year. This is increased to three years for any candidate considered for the Senior Independent Director role.
